PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE PLATFORM
1. ABOUT THESE TERMS
1.1. The Platform. “Place Replace” is a digital platform comprising the website https://placereplace.in (the “Website”) and its associated mobile application (“App”), collectively referred to as the “Platform”. The Platform is owned and operated by Place Replace which is a digital platform owned and operated as a sole proprietorship, bearing Udyam Registration No. UDYAM-MH-18-0542640, having its principal place of business at Govandi, Mumbai, Maharashtra ('Platform Owner', 'we', 'us', 'our'). All references to 'Company' herein shall be construed as references to the sole proprietorship.
1.2. Acceptance. These Terms of Use (“Terms”) form a legal agreement between you (“User”, “you”) and the Company. By accessing, browsing or using any part of the Platform, you confirm that you have read, understood and agree to be bound by these Terms. If you do not agree, you must not use the Platform.
1.3. Changes. We may update these Terms at any time. Updated Terms will be posted on the Platform and become effective immediately. Your continued use after changes are posted constitutes your acceptance of the modified Terms. Please review them periodically.
2. WHO MAY USE THE PLATFORM
2.1. User Categories. The Platform is intended solely for:
- Job Seekers: individuals candidate searching for employment or career enhancement services.
- Recruiters: individuals, organisations or agencies that wish to advertise genuine job vacancies and source candidates.
Job Seekers and Recruiters are together called “Users”.
2.2. Purpose. The Platform serves as an introductory medium for Users with a genuine, lawful interest in employment related activities (the “Permitted Purpose”). Any use outside the Permitted Purpose is prohibited.
2.3. Eligibility. By using the Platform you warrant that:
- you are legally capable of entering into a binding contract under applicable law; and
- your use of the Platform is lawful in your jurisdiction and consistent with the Permitted Purpose.
3. ACCOUNT REGISTRATION AND SECURITY
3.1. Registration. To access certain features you may need to create an account. You must provide accurate, current and complete information and keep it updated. You may not impersonate any person or entity.
3.2. Credentials. You are responsible for maintaining the confidentiality of your login credentials. You will be fully responsible for all activities that occur under your account. Notify us immediately of any unauthorised use.
3.3. Single User Access. Unless otherwise expressly agreed in writing, each account is for a single, named individual. Sharing login details or allowing third parties to use your account is a material breach of these Terms.
4. ACCEPTABLE USE AND PROHIBITED CONDUCT
4.1. General. The Platform and its services (free or paid) shall be used solely for the Permitted Purpose. The Company alone may determine whether any particular activity falls within that purpose.
4.2. Prohibited Actions. You must not, and must not attempt to:
- (a) copy, download, scrape, harvest, extract or re publish any content, data or profiles from the Platform for any reason other than the Permitted Purpose;
- (b) use any automated means (robots, spiders, scripts, crawlers, browser plug ins, etc.) to access, search, monitor or copy any part of the Platform;
- (c) resell, sublicense, redistribute or make available any Company service or data to any third party, or use the Platform to build a competing product or database;
- (d) bypass any access restrictions, security measures or technological protections employed by the Platform;
- (e) modify, adapt, translate, decompile, reverse engineer or create derivative works from the Platform or its underlying software;
- (f) interfere with or disrupt the Platform’s servers or networks, or impose an unreasonable burden on our infrastructure;
- (g) frame, mirror or otherwise simulate the appearance or functionality of the Platform without our prior written consent;
- (h) forge headers or manipulate identifiers to disguise the origin of any communication;
- (i) stalk, harass, threaten or harm any other User;
- (j) upload, post or transmit any content that:
- belongs to another person to which you have no right; is defamatory, obscene, pornographic, pedophilic, invasive of another's privacy, insulting on the basis of gender, racially or ethnically objectionable; threatens the unity, integrity, defense, security, or sovereignty of India; or is patently false, untrue, or misleading in nature.
- obscene, pornographic, hateful, invasive of privacy or otherwise objectionable;
- contains viruses, malware or other harmful code;
- relates to money laundering, gambling, or any illegal activity;
- (k) send unsolicited commercial communications, spam or chain letters through the Platform or to contact details obtained from it;
- (l) use the Platform to promote multi level marketing, financial products, or any goods or services unrelated to genuine recruitment;
- (m) charge any fee from Job Seekers for access to vacancies posted on the Platform.
4.3. Consequences. Breach of this clause entitles the Company, at its sole discretion, to suspend or terminate your access immediately, remove any offending content, report the matter to authorities, and pursue all available legal remedies including damages.
5. JOB SEEKER SPECIFIC CONDITIONS
5.1. Profile and Applications. By creating a profile or applying to a vacancy, you authorise the Platform to share your profile and application materials with Recruiters whose job descriptions match your profile. You may control visibility through your privacy settings.
5.2. Job Alerts and Communications. You consent to receive job alerts, administrative messages and promotional communications by email, SMS or other channels. You can adjust your preferences or opt out of promotional messages through your account settings.
5.3. Resume Database. If you make your resume searchable, it may be viewed by Recruiters who subscribe to the resume database access service. The Company is not responsible for contacts or communications you receive from such Recruiters.
5.4. Third Party Login. If you sign in using a third party service, you authorise us to access and use the profile information permitted by that service.
5.5. Caution. You are advised to independently verify any recruiter, job offer or interview invitation before taking any action (including travel or payment). The Company does not guarantee the authenticity of any response or the existence of a vacancy.
6. RECRUITER SPECIFIC CONDITIONS
6.1. Job Postings. You represent that every job you post is for a genuine, existing vacancy and that you have the authority to advertise it. Jobs shall be posted only for the purpose of hiring candidates and not for advertising unrelated products or services.
6.2. Database Access. If you subscribe to resume database access, you must use candidate information solely for filling specific job openings. You shall not download, export or transfer candidate data out of your organisation, nor use it for any other purpose.
6.3. Data Protection. You agree to comply with all applicable data protection laws. You shall:
- process personal data only for the agreed recruitment purpose and not in an excessive or unlawful manner;
- implement appropriate technical and organisational measures to protect personal data against unauthorised access, loss or destruction;
- not retain data longer than necessary and securely delete it afterwards;
- not transfer personal data to any sub processor without ensuring equivalent safeguards;
- handle data subject requests in accordance with law.
6.4. No Additional Sensitive Data. When you request additional information from a Job Seeker through the Platform, you shall not ask for special category data (e.g., racial origin, political opinions, religion, health, genetic, biometric, financial information, passwords) without obtaining explicit consent.
6.5. Independent Checks. You are solely responsible for verifying any candidate’s credentials, background and suitability. The Company does not act as an agent or labour consultant and gives no warranty regarding the quality or accuracy of responses.
7. FEES, PAYMENTS AND CREDITS
7.1. Paid Services. Certain services may be offered for a fee. All fees are payable in advance and are non refundable, unless otherwise stated in a specific service agreement.
7.2. Platform "Uses Quota Limit" or Credits. The Company may offer a "Uses Quota Limit" or credit system ("Place Replace Uses Quota Limit" or "Place Replace Credits"). "Uses Quota Limit" or Credits may be purchased or granted at the Company’s discretion. "Uses Quota Limit" Credits are valid only for the specified validity period and expire thereafter. "Uses Quota Limit" or Credits are non transferable, non saleable and cannot be moved outside a Recruiter’s establishment.
7.3. Payment Processing. Online payments are processed through third party gateways; the Company is not responsible for the security or performance of those gateways. You are responsible for providing correct tax related information (including GST details) and must promptly supply any TDS certificates required.
7.4. Tax Invoices. Tax invoices will be sent to the email address registered with your account. Any taxes, duties or levies are payable in addition to the base fee.
7.5. Consequence of Breach. If your account is suspended or terminated for breach of these Terms, any fees paid shall be forfeited and no refund will be given.
8. CONTENT AND INTELLECTUAL PROPERTY
8.1. Platform Ownership. All rights, title and interest in the Platform, including its code, design, layout, database, trademarks, logos and know how, are the exclusive property of the Company and are protected by intellectual property laws. You are granted a limited, revocable, non transferable licence to access and use the Platform solely for the Permitted Purpose.
8.2. User Generated Content. By submitting any information or material (including profiles, CVs, job postings) you grant the Company a non exclusive, worldwide, perpetual, irrevocable, royalty free, transferable licence to use, reproduce, display, modify and distribute such content in connection with the Platform’s operation and promotion. You represent that you have all necessary rights to grant this licence.
8.3. Trade Secrets. You acknowledge that the structure, sequence and organisation of the Platform constitute valuable trade secrets of the Company.
9. PRIVACY
9.1. Privacy Policy. Our handling of personal data is governed by our Privacy Policy, which is incorporated by reference into these Terms. Please review it to understand our practices.
9.2. Data Use. You consent to the Company processing your personal data as described in the Privacy Policy, including the use of automated profiling to match candidates and jobs, and to send you relevant communications.
10. DISCLAIMERS
10.1. Intermediary Status. The Company is an intermediary as defined under the Information Technology Act, 2000 (India). We do not originate or control the content posted by Users.
10.2. “As Is” Basis. The Platform and all services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, the Company disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non infringement.
10.3. No Guarantees. The Company does not warrant that:
- the Platform will operate uninterrupted or error free;
- any particular number of responses will be received to a job posting or application;
- a job vacancy will be filled or a candidate will be hired;
- any content provided by Users is accurate, reliable or lawful.
10.4. User Responsibility. Any reliance you place on information obtained through the Platform is at your own risk. You should carry out independent verification before entering into any transaction or employment relationship.
11. LIMITATION OF LIABILITY
11.1. Exclusion of Damages. To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential or exemplary damages, including loss of profits, revenue, goodwill, data or business opportunities, even if advised of the possibility of such damages.
11.2. Cap on Liability. In no event shall the Company’s aggregate liability to you for all claims arising out of or relating to these Terms or the Platform exceed the amount of fees actually paid by you to the Company in the twelve months preceding the event giving rise to the claim. For free services, liability shall be limited to the maximum extent permissible by law.
11.3. Force Majeure. The Company will not be responsible for any failure or delay caused by events beyond its reasonable control, including acts of God, war, riots, government orders, hacking, virus attacks, or failure of third party networks.
12. INDEMNITY
You agree to indemnify, defend and hold harmless the Company, its affiliates, directors, officers and employees from any and all claims, losses, damages, liabilities and costs (including legal fees) arising out of:
- your use of the Platform in breach of these Terms;
- any content you submit or transmit;
- your violation of any third party right or applicable law.
13. TERMINATION
13.1. By the Company. We may, at any time and without notice, suspend or terminate your access to the Platform (or any part thereof) if we believe you have violated these Terms or any applicable law.
13.2. Effect of Termination. Upon termination, your right to use the Platform ceases immediately. You shall promptly delete any data or materials obtained from the Platform. Provisions relating to intellectual property, disclaimers, limitation of liability, indemnity and payment obligations shall survive termination.
14. THIRD PARTY LINKS
The Platform may contain links to external websites. These links are provided for convenience only. The Company does not endorse and is not responsible for the content, products or services of any linked site. You access such sites at your own risk.
15. GOVERNING LAW AND DISPUTE RESOLUTION
15.1. Governing Law. These Terms are governed by the laws of India.
15.2. Dispute Resolution. Any dispute arising out of or in connection with these Terms shall be referred to and finally resolved by arbitration in accordance with the Arbitration Rules of the Mumbai Centre for International Arbitration ('MCIA Rules'), which rules are deemed to be incorporated by reference. The arbitral tribunal shall consist of a sole arbitrator appointed in accordance with the MCIA Rules. The seat of arbitration shall be Mumbai.
16. GENERAL PROVISIONS
16.1. Entire Agreement. These Terms (together with the Privacy Policy and any additional service specific terms) constitute the entire agreement between you and the Company regarding the Platform and supersede all prior agreements and understandings.
16.2. Severability. If any provision of these Terms is found invalid or unenforceable, that provision shall be limited or severed to the minimum extent necessary, and the remaining provisions shall remain in full force.
16.3. Assignment. You may not assign or transfer your rights or obligations under these Terms. The Company may assign its rights without restriction.
16.4. Waiver. The failure of the Company to enforce any right or provision shall not constitute a waiver.

- The designated Grievance Officer shall acknowledge your complaint within twenty-four (24) hours and resolve the dispute within fifteen (15) days. If you are aggrieved by the decision, you may file an appeal before the Grievance Appellate Committee (GAC) at gac.gov.in within thirty (30) days.
17. ADDITIONAL SERVICE TERMS
Depending on the service you choose, supplementary terms may apply. For example:
- Job Seeker Paid Services: Specific conditions regarding resume writing, profile boosting, etc., will be displayed at the time of purchase.
- Recruiter Credits and Paid Jobs: The number of "Uses Quota Limit" or "credits" required for a paid job listing, its visibility features and display period are subject to change with notice. "Uses Quota Limit" or Credits are consumed when a paid job is made active. Accidental postings will not result in a "Uses Quota Limit" or credit refund. Upgrading a free job to a paid job grants a fresh display period from the activation date.
By using the Platform, you agree to be bound by these Terms of Use. If you do not agree, please discontinue use immediately.
